1. Agreement to Terms

These Terms constitute a legally binding agreement between you (the "Client," "you," or "your") and Virtual Surveillance Guard. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.
2. Service Description
Virtual Surveillance Guard provides remote video surveillance monitoring services utilizing artificial intelligence, live monitoring personnel, and emergency response coordination. Our Services include, but are not limited to:
- 24/7 Live Monitoring: Real-time observation of your premises via connected camera systems
- AI-Powered Threat Detection: Automated detection of suspicious activities, unauthorized access, and potential security threats
- Emergency Response Coordination: Immediate notification to law enforcement, fire services, or other emergency responders as appropriate
- Incident Documentation: Recording and archiving of security events for review and investigation
- Custom Alert Configuration: Personalized monitoring protocols based on your specific security needs
Important Notice: Our Services are intended to supplement, not replace, traditional security measures. We are a monitoring service and do not provide physical security personnel, equipment installation, or on-site response.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal authority to enter into this agreement
- Be the owner or authorized representative of the property being monitored
- Provide accurate and complete information during registration
- Maintain a valid payment method on file
By using our Services, you represent and warrant that you meet all eligibility requirements.
4. Client Responsibilities
4.1 Camera and Equipment Requirements
You are responsible for:
- Providing and maintaining compatible camera equipment with stable internet connectivity
- Ensuring cameras provide clear, unobstructed views of monitored areas
- Maintaining adequate lighting for effective monitoring
- Providing secure, uninterrupted power to all camera equipment
- Updating camera firmware and software as required
4.2 Access and Credentials
You agree to:
- Provide necessary access credentials to your camera systems
- Maintain secure credentials and notify us immediately of any unauthorized access
- Update access information promptly when passwords or system configurations change
- Ensure all provided information is accurate and up to date
4.3 Legal Compliance
You must:
- Comply with all applicable laws regarding video surveillance, including privacy laws and regulations
- Obtain necessary consents for monitoring in jurisdictions where required
- Post appropriate signage notifying individuals of video surveillance where legally required
- Use our Services only for lawful purposes
- Not monitor areas where individuals have a reasonable expectation of privacy (such as bathrooms, changing rooms, etc.)
4.4 Emergency Contact Information
You are required to:
- Provide and maintain accurate emergency contact information
- Ensure emergency contacts are reachable 24/7
- Update contact information immediately when changes occur
- Designate authorized individuals who can approve emergency responses
5. Service Limitations and Disclaimers
5.1 No Guarantee of Prevention
While we strive to provide excellent monitoring services, we cannot guarantee the prevention of criminal activity, property damage, or any other loss. Our Services are designed to detect and respond to incidents, but we cannot prevent all threats.
5.2 Technical Limitations
Service quality depends on factors beyond our control, including:
- Internet connectivity stability and speed
- Camera quality and positioning
- Lighting conditions
- Weather conditions affecting visibility
- Third-party infrastructure and services
5.3 Response Time
While we provide 24/7 monitoring, response times for incident detection, verification, and emergency notification may vary based on:
- The nature and clarity of the detected threat
- Current monitoring queue and staffing levels
- Time required for human verification of AI alerts
- Emergency service availability and response times (which we do not control)
5.4 Service Interruptions
Services may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Network outages or technical difficulties
- Force majeure events
- Client equipment or connectivity issues
We are not liable for losses resulting from service interruptions, though we will make reasonable efforts to minimize downtime and provide advance notice when possible.
6. Privacy and Data Handling
6.1 Video Data
- Video footage is securely stored and encrypted
- Access is limited to authorized personnel
- Retention periods comply with contractual agreements and legal requirements
- You retain ownership of your video data
6.2 Data Sharing
We may share video data with:
- Law enforcement when legally required or authorized by you
- Emergency services during active incidents
- Legal authorities pursuant to valid subpoenas or court orders
7. Payment Terms
7.1 Fees
You agree to pay all fees as specified in your service agreement. Fees may include:
- Monthly or annual subscription fees
- Installation and setup fees
- Equipment rental fees (if applicable)
- Additional service charges as agreed
7.2 Payment Method
Payments must be made via approved methods (credit card, ACH, wire transfer, etc.). You authorize us to charge your payment method on the agreed schedule.
7.3 Late Payments
Late payments may result in:
- Service suspension after 15 days past due
- Late fees of 1.5% per month (or maximum allowed by law)
- Service termination after 30 days past due
7.4 Refunds
Subscription fees are non-refundable except as required by law or specified in your service agreement. Installation and setup fees are non-refundable once services commence.
8. Term and Termination
8.1 Service Term
Services begin on the activation date and continue according to your selected plan (monthly, annual, etc.) unless terminated in accordance with these Terms.
8.2 Termination by Client
You may terminate services by providing 30 days' written notice. Early termination fees may apply if canceling before the end of a contract term.
8.3 Termination by Company
We may terminate or suspend services immediately if you:
- Breach these Terms or your service agreement
- Fail to pay fees when due
- Use services for illegal purposes
- Engage in conduct that harms our business or reputation
8.4 Effect of Termination
Upon termination:
- Monitoring services cease immediately
- Access to dashboards and archives is revoked
- Video data may be retained per our retention policy or deleted upon request
- Any outstanding fees become immediately due
9. Limitation of Liability
Important Limitation: To the maximum extent permitted by law, our total liability for any claims arising from our services is limited to the fees paid by you in the 12 months preceding the claim.
We are not liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, or business opportunities
- Property damage or theft at monitored locations
- Personal injury or death occurring at monitored locations
- Losses resulting from service interruptions, delays, or errors
- Third-party actions or failures (e.g., law enforcement response times)
Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Virtual Surveillance Guard, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any laws or regulations
- Your violation of third-party rights
- Any content you provide to us
11. Intellectual Property
All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and designs, are owned by Virtual Surveillance Guard or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute our proprietary content
- Reverse engineer our software or systems
- Use our trademarks without written permission
- Create derivative works based on our services
12. Dispute Resolution
12.1 Informal Resolution
Before pursuing formal dispute resolution, you agree to contact us to attempt informal resolution of any dispute.
12.2 Arbitration
Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in [Your State/County].
